E-Commerce Addendum

These Ecommerce Supplemental Terms apply to purchases made through the Huth Ben Pearson ecommerce website and supplement the Huth Ben Pearson Terms and Conditions of Sale. In the event of a conflict between these Ecommerce Supplemental Terms and the general Terms and Conditions of Sale, these Ecommerce Supplemental Terms shall control with respect to online purchases. Separate Return, Shipping, Warranty, and Privacy Policies are incorporated herein by reference.

Note: online sales are primarily for tooling/accessory products. Equipment quotations remain separately governed by general business terms and conditions.

1. Online Ordering

  • Online ordering is currently available only for shipments within the United States and Canada.
  • Customer agrees these Terms apply to all online purchases.
  • Submission of an order through the website constitutes an offer to purchase.
  • An order shall not be deemed accepted until the ordered Products are shipped by Huth.
  • Huth may reject/cancel orders
  • Quantity limits may apply
  • Order confirmation emails are acknowledgements only
  • We reserve the right to refuse, limit, delay, or cancel any order for any reason, including suspected fraud, unauthorized transactions, pricing errors, inventory discrepancies, export restrictions, or unusual purchasing activity.
  • Returned products may be inspected upon receipt. We reserve the right to reject returns or apply partial credits for products that are used, damaged, altered, incomplete, or inconsistent with the approved return authorization.
  • Electronic records maintained by Huth, including order confirmations, shipment tracking, communications, IP logs, device information, and payment authorization records, may be used as evidence regarding transactions conducted through the website.
  • Customer represents that products will not be exported, resold, or transferred in violation of applicable law, sanctions regulations, or export controls.
  • Products offered through the website are primarily intended for commercial and industrial use.
  • Huth reserves the right to correct typographical errors, pricing inaccuracies, product information errors, or inventory discrepancies at any time without prior notice, including after an order has been submitted.

2. Electronic Communications

  • By using the website or placing an order, Customer consents to receive electronic communications from Huth, including order confirmations, invoices, shipment notifications, and customer service communications. Customer agrees that electronic communications and records satisfy any legal requirement that such communications be in writing.
  • Product descriptions, images, and specifications are subject to change without notice.
  • Huth does not warrant that website content is error-free.

3. Pricing and Payment Processing

  • Prices subject to change without notice.
  • Payment will be by credit card.
  • By submitting an order, Customer authorizes Huth and its payment processors to charge the designated payment method for all applicable charges.
  • Payment must be received before shipment
  • We reserve the right to decline payments
  • Huth reserves the right to refuse suspicious transactions.
  • State and local sales tax will be collected when applicable.
  • Customer authorizes payment processing.
  • Chargebacks submitted without first contacting Huth to resolve an issue may result in denial of future purchases.
  • Exemption certificates may be required before shipment.
  • All offers, pricing, specifications, availability, and product information are subject to correction without notice.
  • Huth may cancel erroneous orders.
  • Images/descriptions may not be exact.
  • Availability is not guaranteed.
  • Huth maintains order cancellation rights, fraud review rights, right to refuse suspicious orders, and right to request identity verification.

4. Fraud Prevention

By submitting an order, the customer represents and warrants that:

  • the payment method used is authorized;
  • all billing information provided is accurate;
  • the purchaser has authority to use the payment method; and
  • the purchaser will not initiate improper or fraudulent chargebacks.

We may require additional verification before accepting or shipping any order, including verification of identity, billing information, business affiliation, shipping address, tax exemption documentation, or payment authorization.

Shipping restrictions

  • Orders may only be shipped to verified billing or approved business addresses. We reserve the right to reject shipments to freight forwarders, mail forwarding services, anonymous warehouses, or other high-risk destinations.
  • Title and risk of loss transfer to Customer upon confirmed delivery to the shipping address.

Huth reserves the right to refuse, limit, delay, or cancel any order involving suspected fraud, payment irregularities, inventory discrepancies, export restrictions, or unusual purchasing activity.

Payment transactions may be processed through third-party payment service providers. Huth does not store complete payment card information except as necessary to process transactions or comply with legal obligations.

Website availability disclaimers

The website and all content, services, and functionality are provided on an ‘as available’ and ‘as is’ basis without warranties of any kind.

Huth does not guarantee the availability of any Product listed on the website.

Website Use Restrictions

All website content, including text, graphics, logos, videos, product images, manuals, software, and trademarks, are the property of Huth or its licensors and may not be copied, reproduced, distributed, or used without prior written consent.

Website operation:

Huth Ben Pearson is not responsible for losses due to:

  • outages
  • bugs
  • cyber incidents
  • interrupted access

The following are not allowed:

  • coupon stacking
  • online pricing abuse
  • unauthorized reseller activity

General

  1. Use of the website is also governed by the Huth Ben Pearson Privacy Policy.
  2. By providing contact information, Customer agrees that Huth may send transactional communications related to orders and account activity. Marketing communications shall be governed by applicable law and customer communication preferences.
  3. All returns are governed by the Huth Ben Pearson Return Policy available on the website.
  4. Use of the website is also governed by shipping policy
  5. Errors may be corrected
  6. If any provision of these Ecommerce Supplemental Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  7. Use of bots, crawlers, automated purchasing tools, scraping technologies, or similar automated systems without written authorization is prohibited.
  8. Huth reserves the right to modify these Ecommerce Supplemental Terms at any time by posting updated terms on the website. Changes shall apply prospectively to orders placed after the revised terms are posted.

Huth reserves the right to limit or prohibit sales to dealers, exporters, resellers, or distributors not authorized by Huth.
